1. The service
SkyMatch Group ("SkyMatch", "we", "us") provides an online technology platform and matching service that allows travelers to submit charter requests and receive non-binding indications from independent third-party operators ("Operators"). SkyMatch does not own, lease, charter, operate, dispatch, control, manage or insure any aircraft, and does not hold an Air Operator Certificate.
2. Role of SkyMatch — intermediary only
SkyMatch acts solely as a neutral technology intermediary. Any flight, transport, escort, ground service, refueling, catering, insurance or related service is provided exclusively by the Operator or other third-party supplier you choose. The legal contract for carriage and any related services is concluded directly between you and the Operator. SkyMatch is not a party to that contract and assumes no obligation arising under it.
3. Operator responsibility
Each Operator is solely and exclusively responsible for: aircraft airworthiness; valid AOC, permits and regulatory approvals; flight crew qualifications and conduct; safety and operational decisions (including go/no-go, route, diversion, refusal); insurance (hull, passenger and third-party liability); scheduling, delays, cancellations, rebooking and refunds; baggage, cabin service and ground handling; compliance with aviation, customs, immigration, tax and consumer law in every relevant jurisdiction.
4. No guarantees
Quotes, prices, availability, aircraft types, ETAs, photos, ratings, certifications, insurance amounts and any other operator-supplied information are provided by Operators and are indicative only until a flight is confirmed in writing by the chosen Operator. SkyMatch does not verify, endorse, guarantee or warrant any operator-supplied information and makes no representation as to availability, price, fitness, safety, on-time performance or quality. Nothing on the platform constitutes a binding offer by SkyMatch.
5. No liability — full disclaimer
To the maximum extent permitted by applicable law, SkyMatch, its affiliates, directors, employees and agents shall have no liability whatsoever, whether in contract, tort (including negligence), statute or otherwise, for any loss, damage, injury, death, delay, cancellation, diversion, missed connection, loss of baggage, property damage, financial loss, lost profit, lost opportunity, emotional distress, or any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with: (a) any flight, transport or service provided by an Operator or other third party; (b) any act, omission, default, insolvency, fraud, misrepresentation or breach by any Operator, supplier, payment provider or other third party; (c) any operator-supplied information appearing on the platform; (d) any decision you make based on indicative pricing, availability or matching results; (e) any unavailability, error, interruption, security incident or content of the platform; (f) any force majeure event, weather, regulatory action, permit denial, airspace restriction, strike or technical failure.
6. Limitation of liability
Without limiting Section 5, and to the maximum extent permitted by law, the aggregate liability of SkyMatch arising out of or related to the platform, regardless of the cause of action, shall not exceed one hundred euros (€100). Where applicable law does not permit the exclusion or limitation of certain liabilities (for example, for death or personal injury caused by gross negligence, or fraud), liability is excluded or limited only to the extent permitted by that law; mandatory consumer-protection rights of your country of residence are not affected.
7. Indemnity
You agree to defend, indemnify and hold harmless SkyMatch and its affiliates, directors, employees and agents from and against any claim, demand, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) any flight or service supplied to you by an Operator or other third party; (c) your breach of these Terms or of any law; (d) any dispute between you and an Operator, supplier or other user.
8. Eligibility & accurate information
You must be 18+ and provide accurate, lawful information. You are responsible for travel documents, customs, immigration, taxes, landing fees, VAT, sanctions screening and any other obligations applicable to your flight.
9. Acceptable use
You may not misuse the platform, attempt to access non-public areas, scrape data, submit fraudulent or unlawful requests, impersonate any person, or interfere with operation. We may suspend or terminate access at any time, with or without notice, at our sole discretion.
10. Operator listings & rankings
Operator listings are based on information supplied by Operators. Featured, sponsored or priority placement may reflect commercial relationships. Listing does not constitute endorsement, verification or recommendation by SkyMatch.
11. Disclaimers
The platform is provided "as is" and "as available". To the maximum extent permitted by law, SkyMatch disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, accuracy, non-infringement, security and uninterrupted availability.
12. Intellectual property
The platform, its content, code, design and trademarks are owned by SkyMatch or its licensors and protected by applicable law. You receive a limited, revocable, non-transferable license to use the platform for personal, non-commercial use only.
13. Governing law & disputes
These Terms are governed by the laws of the operating jurisdiction of SkyMatch, without regard to conflict-of-laws rules. Mandatory consumer-protection rights of your country of residence are not affected. Any dispute against SkyMatch must be brought individually; class actions are waived to the extent permitted by law. Disputes regarding any flight or service must be brought against the Operator that performed or was contracted to perform it.
14. Changes
We may update these Terms at any time. The "Last updated" date will reflect any change. Continued use after changes constitutes acceptance. If you do not agree, stop using the platform.
15. Severability
If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
